1. Acceptance of Terms

By installing, accessing, or using the TabGroup Vault Chrome extension (the "Extension"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Extension.

These Terms constitute a legally binding agreement between you and TabGroup Vault ("Company," "we," "us," or "our"). We reserve the right to update these Terms at any time. Your continued use of the Extension after changes are posted constitutes acceptance of the modified Terms.

2. Description of Service

TabGroup Vault is a Chrome browser extension designed to help users save, manage, restore, and organize their Chrome tab groups. The Extension provides the following core functionality:

• Save unlimited snapshots of Chrome tab groups (Pro version)
• Restore previously saved tab groups with one click
• Organize and manage multiple tab group snapshots
• Search and filter saved tab groups
• Local-first data storage with optional cloud backup
• Bulk restore and merge capabilities (Pro version)
• Multi-profile support across up to five Chrome profiles (Pro version)

The Extension is available in both a free version with limited features and a Pro version with full functionality.

3. User Accounts and Pro Licenses

3.1 Free Version

The free version of TabGroup Vault is available to all users and includes basic functionality with certain limitations, including a maximum of five saved snapshots.

3.2 Pro License

TabGroup Vault Pro is available for a one-time payment of $29 USD. Upon purchase, you receive:

• Lifetime access to all Pro features
• Ability to activate the license on up to five Chrome profiles
• All future feature updates at no additional cost
• Priority support with response times under 24 hours

3.3 License Restrictions

Pro licenses are for individual use only. Each license may be activated on up to five Chrome profiles associated with the same individual user. Commercial, resale, or redistribution of licenses is strictly prohibited.

3.4 Account Security

You are responsible for maintaining the confidentiality of your license key and for all activities that occur under your license. You agree to notify us immediately of any unauthorized use of your license.

4. Privacy and Data Storage

4.1 Local-First Architecture

TabGroup Vault follows a local-first data storage approach. By default, all tab group snapshots and user data are stored locally on your device. We do not store your data on our servers. Pro users can optionally enable automatic backup to their own Google Drive account, but these backups are stored in your personal Google Drive, not on TabGroup Vault servers.

4.2 Optional Cloud Backup (Pro Feature)

Pro users may optionally enable automatic backup to their own Google Drive account. When enabled:

• Backups are automatically saved to your personal Google Drive account every 30 minutes
• Data is stored in your private Google Drive appData folder, which only TabGroup Vault can access
• We do not store your backups on our servers—they remain in your Google Drive account under your control
• You can disconnect Google Drive sync at any time from the extension settings
• Standard Chrome sync storage is also used for basic synchronization across your browsers

4.3 Data Privacy

4.4 User Responsibility

You are solely responsible for maintaining backups of your data. While we strive to provide reliable service, we are not liable for any data loss.

5. Intellectual Property Rights

The Extension and all related content, features, and functionality (including but not limited to all software, code, text, displays, graphics, photographs, video, audio, design, and the selection and arrangement thereof) are owned by TabGroup Vault, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Extension solely for your personal, non-commercial use.

5.2 Restrictions

You may not:

• Modify, adapt, translate, reverse engineer, decompile, or disassemble the Extension
• Create derivative works based on the Extension
• Distribute, sublicense, lease, lend, or rent the Extension
• Remove, alter, or obscure any proprietary notices on the Extension
• Use the Extension for any commercial purpose without express written permission

6. Payment Terms

6.1 One-Time Payment

TabGroup Vault Pro requires a one-time payment of $29 USD. This is a lifetime license with no recurring subscription fees.

6.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. We do not store your credit card information. By making a purchase, you agree to Stripe's terms of service and privacy policy.

6.3 Refund Policy

6.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect existing Pro license holders, who retain lifetime access at their original purchase price.

6.5 Taxes

All prices are in USD and do not include applicable taxes. You are responsible for any sales, use, or other taxes associated with your purchase.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TABGROUP VAULT, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Extension
• Any conduct or content of any third party on the Extension
• Any content obtained from the Extension
• Unauthorized access, use, or alteration of your transmissions or content
• Loss or corruption of data, including tab group information
• Browser crashes, updates, or compatibility issues

7.1 Maximum Liability

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you paid to us in the twelve (12) months prior to the event giving rise to liability, or $29 USD, whichever is greater.

7.2 Disclaimer of Warranties

THE EXTENSION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE EXTENSION WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Termination

8.1 Termination by You

You may stop using the Extension at any time by uninstalling it from your Chrome browser. Upon termination, all locally stored data will remain on your device until manually deleted.

8.2 Termination by Us

We reserve the right to suspend or terminate your access to the Extension at any time, with or without cause, with or without notice, effective immediately. This includes, but is not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Requests by law enforcement or other government agencies
• Discontinuation or material modification of the Extension

8.3 Effect of Termination

Upon termination, your license to use the Extension will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by:

• Posting the updated Terms with a new "Last Updated" date
• Displaying a notification within the Extension
• Sending an email to Pro users (if email addresses are available)

Your continued use of the Extension after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Extension.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the United States, and you hereby consent to personal jurisdiction and venue therein.

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@tabgroupvault.com. We will attempt to resolve the dispute informally within 60 days. If we are unable to resolve the dispute informally, either party may pursue formal legal action.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TabGroup Vault regarding the use of the Extension and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the other provisions of these Terms shall remain in full force and effect.

12.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice.

12.5 Third-Party Services

The Extension may integrate with or contain links to third-party services, including the Chrome Web Store and Stripe payment processing. We are not responsible for the content, policies, or practices of any third-party services.
